1. About these Terms

These Terms of Service (“Terms”) govern your access to and use of www.uzado.com(the “Site”) operated by Uzado Inc.(“Uzado,” “we,” “our,” or “us”). By accessing or using the Site, you agree to these Terms. If you don’t agree, don’t use the Site.

These Terms cover use of the public-facing website only. They do not govern any managed service, professional service, or consulting engagement Uzado provides under a separately executed agreement (for example, a Master Services Agreement, Statement of Work, or service schedule). Where there is a conflict between these Terms and a signed client agreement, the signed agreement controls for matters within its scope.

2. Who can use the Site

The Site is intended for business visitors aged 18 or older. By using the Site, you represent that you are at least 18 and have the legal capacity to agree to these Terms. If you are using the Site on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Permitted use

You may access the Site for lawful purposes related to evaluating Uzado’s services, learning about our work, or contacting us. You may read, download, and print content from the Site for your own internal business use, provided you retain any copyright or proprietary notices.

4. Prohibited use

You agree not to:

• Use the Site in any way that violates applicable law or regulation, or that infringes the rights of any person or organisation.
• Attempt to gain unauthorised access to the Site, any related system, or any data hosted on the Site, including by probing, scanning, or testing the vulnerability of any system without our prior written permission. Security researchers interested in coordinated disclosure should contact security@uzado.com.
• Use automated means (bots, scrapers, crawlers other than well-behaved search or AI-citation crawlers that respect robots.txt) to collect content from the Site, resell content, or create derivative products.
• Submit false or misleading information through our contact form or other intake mechanisms.
• Introduce any malware, viruses, or other harmful code; overload, disrupt, or impair the Site; or interfere with any other party’s use of the Site.
• Frame the Site or otherwise present Uzado content in a manner that misrepresents our association with, or endorsement of, another product or organisation.

5. Intellectual property

The Site (including its design, code, text, graphics, logos, and other content) is owned by Uzado or its licensors and is protected by copyright, trademark, and other intellectual property laws. “Uzado,” the Uzado logo, and “Reliability Today. Resilience for Tomorrow.” are trademarks of Uzado Inc. Other trademarks referenced on the Site are the property of their respective owners.

Nothing on the Site grants you any licence to use the Uzado name, logo, or trademarks except as strictly necessary to identify Uzado in accurate factual references. Any other use requires our prior written consent.

6. Your content

When you submit information to us through the Site (for example, via the contact form), you grant Uzado a non-exclusive, worldwide, royalty-free licence to use that information for the purpose of responding to your enquiry and, where applicable, providing services to you. You represent that you have the right to share any information you submit and that it does not violate any third-party rights.

7. Third-party links and content

The Site contains links to third-party sites (for example, our Trust Center operated by Vanta, our client support portal, and our technology partners). Those sites are not under our control, and we are not responsible for their content, privacy practices, or availability. Links are provided for convenience and do not constitute endorsement.

8. Service availability

We aim to keep the Site available and up to date. We do not, however, guarantee uninterrupted availability. We may modify, suspend, or discontinue any part of the Site at any time without notice and without liability.

9. Disclaimer of warranties

The Site and all content on it are provided “as is”and “as available” without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

10. Limitation of liability

To the fullest extent permitted by law, Uzado will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Site. Our aggregate liability arising out of or related to your use of the Site, regardless of the cause of action, will not exceed CAD $100.

Some jurisdictions don’t allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply only to the greatest extent permitted.

11. Indemnification

You agree to defend, indemnify, and hold harmless Uzado and its officers, directors, employees, and agents from any claim, loss, liability, expense, or damage (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Site, or your violation of any law or the rights of a third party.

12. Privacy

Our Privacy Policy describes how we collect, use, and protect information you provide through the Site. By using the Site, you consent to the processing of your information as described in the Privacy Policy.

13. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Any dispute arising from or relating to these Terms or the Site will be resolved exclusively in the courts of Ontario, and you consent to the personal jurisdiction of those courts.

14. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page will reflect the most recent revision. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms. For material changes, we will provide reasonable advance notice.

15. Entire agreement, severability, and waiver

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Uzado regarding your use of the Site. If any provision is found to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision.
